By engaging with Ripe OS (the "Company"), you agree to abide by these Terms of Service ("Terms"). If you do not agree, please do not use our services.

1. Overview

1.1 Parties

This agreement is between you ("Client") and Ripe OS, an overseas assistant staffing agency located in 30 N Gould St Ste N, Sheridan, WY, 82801.

1.2 Services

We provide overseas assistant staffing agency, including but not limited to:

  • Executive task management (calendar coordination, email handling, research).

    Workflow automation and process optimization.

    Custom AI-driven solutions and administrative support.

    Staffing and management of dedicated virtual assistants ("VAs").

2. Data Ownership & Confidentiality

2.1 Client Data

  • You retain ownership of all data provided to us.

    We use your data only to fulfill service obligations and delete it upon request.

2.2 Third-Party Tools

  • Services may involve third-party platforms (e.g., project management software). By using our services, you agree to comply with their terms.

    We are not liable for third-party actions, outages, or data handling.

2.3 Confidentiality

  • Both parties agree to keep non-public information confidential unless required by law.

3. Liability & Indemnification

3.1 Limitation of Liability

  • We are not liable for indirect, incidental, or punitive damages (e.g., lost profits, data loss).

    Total liability is capped at fees paid to us in the prior 6 months.

3.2 Indemnification

You agree to indemnify us against claims arising from your misuse of services.

3.3 Governing Law

  • Disputes are governed by Wyoming law and resolved in Sheridan County courts.

4. Support & Communication

4.1 Support Hours

  • Support is available Monday–Friday, 9 AM–5 PM MT via email at [email protected].

    Responses are typically within 1–2 business days but not guaranteed.

4.2 Meetings

  • Meetings are scheduled at our discretion. Requests are accommodated based on availability.

4.3 Closures

  • We observe federal holidays and occasional closures. Support may be delayed during these times.

5. Professional Conduct

5.1 Mutual Respect

  • Clients and Agency personnel must maintain professionalism.

    Termination: We reserve the right to terminate services for disrespectful behavior.

5.2 Refunds

  • No refunds are issued for termination due to misconduct.

6. Service-Specific Terms

6.1 Service Tier

  • $2395 per month

6.2 Project Timelines

  • Standard Projects: Completed within 90 days unless otherwise agreed.

    Delays: Caused by client inaction (e.g., unresponsiveness >30 days) may incur restart fees.

6.3 Payments

  • Fees are due upfront or as invoiced. Late payments incur 1.5% monthly interest.

    Subscriptions auto-renew until canceled via email to [Billing Email].

6.4 Refund Policy

  • No refunds for completed work. Partial refunds for terminated projects are prorated at our discretion.

7. General

7.1 Updates

  • We may update these Terms at any time. Continued use constitutes acceptance.
